Accounting watchdog to overhaul all UK company accounts
According to the watchdog audits are failing to communicate critical information, leaving shareholders in the dark over the most vital details about a company’s financial health.
The rules propose that company accounts include a new report from the audit committee about the key risks a company faces in terms of strategy and operations, both over the last 12 months and going forward. The proposals – which will be brought in over the next six months – also propose that businesses be forced to re-tender for accountants once every 10 years or explain why they haven’t done so.
The FRC, which has been under pressure to come up with its own reforms in the face of regulatory pressure from Europe and from the House of Lords and the Competition Commission in the UK, will launch a new “Financial Reporting Laboratory” to assess options. This will be established alongside changes to the UK Corporate Governance Code and the so called ‘Turnbull Guidance’, which sets out best practice for listed UK companies.
FRC’s chief executive Stephen Haddrill said: “Company reports often do not get to the heart of the matter. We hope that by putting an emphasis on the reporting of risks that could undermine the company’s strategy or long-term viability, companies will give investors the information they need to help them decide how to allocate capital.”
Richard Fleck, chairman of the Auditing Practices Board (APB) said: “Audits used to be about making sure everything added up correctly. Now it is more important to assess a company’s soft decisions, such as whether a company has impaired assets, how it has approached sovereign debt issues,Non woven Bag, or how it has approached future liabilities. Those critical sensitivities should, we believe, be disclosed in a fair and balanced manner by the Audit Committee. We don’t want auditors’ judgement to be substituted for management’s – but we do want auditors to make sure there are no glaring and material omissions or errors.”
The report also condemns the use of opaque language and hard to find information, saying “any description of the risks a company faces should not be made difficult to assess by being scattered about the annual report.” This, the FRC hopes will stop companies kitchen-sinking common issues faced by all businesses rather than isolating specific risks and concerns.
